Terms of Service

Summary: These Terms govern your use of Ragify, a PDF-to-structured-output service. By creating an account or using the service, you agree to these Terms in full. Key points: you retain ownership of your PDFs; we retain ownership of the platform; subscriptions auto-renew; files are deleted after 30 days; the service is provided "as is" with no accuracy guarantees. Governing law is Italian law.

1. Parties and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Ragify ("we", "us", "our"), the operator of the website and service available at ragify.it (the "Service").

By accessing the Service, creating an account, or using any feature of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, all of which are incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must not use the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

You must be at least 16 years of age to use the Service. By using the Service, you confirm that you meet this requirement.

2. Description of the Service

Ragify is a web-based software-as-a-service ("SaaS") platform that allows users to upload PDF documents and convert them into structured output formats including Markdown, JSON, HTML, Plain Text, Tagged PDF, and Annotated PDF (the "Outputs").

The Service includes the following features, which vary by subscription plan:

  • PDF upload and parsing via opendataloader-pdf engine
  • Multiple output formats (availability depends on plan)
  • Configurable parsing options (reading order, table detection, image extraction)
  • Hybrid AI mode for complex documents (tables, OCR, formulas) — Pro and Business plans only
  • Job history and output file download
  • Usage tracking (pages processed per month)
  • Priority processing queue (Business > Pro > Free)

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practicable.

3. Account Registration and Security

3.1 Registration

To access the Service, you must register for an account by providing a valid email address and password. Authentication is managed by Clerk, Inc., a third-party identity provider. You agree to provide accurate and complete information during registration and to keep it up to date.

3.2 Account security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Choose a strong password meeting the minimum complexity requirements
  • Not share your credentials with any third party
  • Notify us immediately at legal@ragify.it if you suspect unauthorised access

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 One account per user

Each individual may maintain only one free-tier account. Creating multiple free accounts to circumvent usage limits is a material breach of these Terms and may result in immediate termination of all associated accounts.

4. Subscription Plans, Pricing, and Billing

4.1 Available plans

All prices are inclusive of applicable taxes. Payments are processed by Lemon Squeezy LLC, who acts as the Merchant of Record. All financial transactions, invoicing, and tax remittance are handled by Lemon Squeezy.

4.2 Billing cycle and auto-renewal

Paid subscriptions are billed monthly on the anniversary of your subscription start date. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorise us (via Lemon Squeezy) to charge your payment method on a recurring basis.

4.3 Free trial and downgrades

If a free trial period is offered, it will be clearly stated at the time of subscription. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. Downgrading to a lower plan takes effect at the end of the current billing period. Your usage limits and available features will change accordingly.

4.4 Price changes

We reserve the right to change subscription prices. We will provide at least 30 days' written notice of any price increase via email. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price. If you do not agree to the new price, you may cancel your subscription before the new price takes effect.

4.5 Refund policy

All sales are final and non-refundable, except where required by applicable consumer protection law. Under EU consumer law, you may have a right of withdrawal within 14 days of your initial subscription purchase. However, by using the Service immediately upon subscription, you expressly request the immediate provision of the digital service and acknowledge that your right of withdrawal is thereby waived in accordance with Article 59(a) of EU Directive 2011/83/EU as implemented in Italian law (D.Lgs. 206/2005, art. 59, comma 1, lett. o).

Refund requests for exceptional circumstances (e.g. duplicate charges, service outages exceeding 72 continuous hours) should be submitted to legal@ragify.it and will be evaluated on a case-by-case basis.

4.6 Usage limits and page counting

Pages are counted per PDF document processed. Each page in a PDF document counts as one page against your monthly allowance, regardless of the output format requested. Monthly page counts reset to zero on the first day of each calendar month (UTC). Unused pages do not carry over to the following month.

5. Acceptable Use Policy

5.1 Permitted use

You may use the Service solely for lawful purposes, in accordance with these Terms, and in a manner consistent with all applicable laws and regulations. Permitted uses include:

  • Converting your own PDF documents or documents you have the right to process
  • Research, academic, and educational use
  • Business and commercial data extraction from documents you are authorised to process
  • Software development and integration (subject to API terms where applicable)

5.2 Prohibited activities

Violation of this section may result in immediate account suspension or termination without notice or refund.

You must not use the Service to:

  • Process documents containing child sexual abuse material (CSAM) or other illegal content
  • Process documents you do not own or have no right to process (copyright infringement)
  • Upload malware, viruses, or malicious code disguised as PDF files
  • Attempt to circumvent, disable, or interfere with security features, content safety filters, or access controls
  • Conduct automated scraping, bulk testing, or stress-testing of the Service beyond normal use
  • Use the Service to develop a competing product or service
  • Resell access to the Service or grant third parties access to your account credentials
  • Attempt to reverse-engineer, decompile, or extract the underlying parsing engine or algorithms
  • Submit forged or falsified documents for any fraudulent purpose
  • Engage in any activity that places unreasonable load on our infrastructure
  • Use automated means to create multiple accounts to circumvent Free plan limits
  • Violate any applicable law, including export control laws, data protection laws, or intellectual property laws

5.3 File upload restrictions

The Service accepts only valid PDF files (.pdf). File size limits apply per plan: 25 MB (Free), 150 MB (Pro), and unlimited (Business). We reserve the right to reject, quarantine, or delete any file that violates these Terms or that our systems identify as potentially malicious.

6. Intellectual Property

6.1 Your content

You retain all intellectual property rights in the PDF documents you upload ("User Content"). By uploading User Content to the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and convert your User Content solely for the purpose of providing the Service to you. This licence terminates when the files are deleted (within 30 days) or upon account deletion.

You represent and warrant that: (a) you own or have the necessary rights to upload the User Content; (b) the User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (c) you have obtained all necessary consents for any personal data contained in the User Content.

6.2 Our intellectual property

The Service, including its software, design, user interface, algorithms, trademarks, trade names, and all content created by us, is owned by Ragify or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited right to use the Service as described herein.

6.3 Output ownership

The structured outputs generated from your PDF documents (Markdown, JSON, HTML, etc.) are derived works of your User Content. You own the outputs to the extent that they derive from your original content. We make no claim of ownership over your outputs.

We do not use your User Content or outputs to train machine learning models or to improve our systems without your explicit consent.

7. Data Processing and Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Italian data protection law.

File retention: Uploaded PDF files and output files are automatically deleted from our servers within 30 days of upload. Job metadata (file name, page count, processing options, status) is retained until account deletion. You are responsible for downloading your outputs before the 30-day retention period expires.

Document confidentiality: You acknowledge that PDF documents may contain sensitive or confidential information. While we implement appropriate technical security measures, we are not responsible for the content of documents you choose to upload. We recommend not uploading documents containing highly sensitive personal data (e.g. passports, medical records, financial account details) unless strictly necessary.

GDPR data processing: Where you process documents containing personal data of third parties (e.g. customer records, employee data), you act as the data controller and we act as the data processor. By using the Service, you represent that you have a lawful basis for processing such personal data under the GDPR.

8. Service Availability and Performance

8.1 Uptime

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond our control. We will endeavour to provide advance notice of scheduled downtime where practicable.

8.2 Processing accuracy

PDF parsing is a technically complex process. Outputs may not be 100% accurate, particularly for scanned PDFs, PDFs with non-standard encoding, complex layouts, mathematical formulas, or non-Latin scripts. You are responsible for reviewing and validating all outputs before use in production systems.

Hybrid AI mode (Pro/Business) significantly improves accuracy for complex documents but does not guarantee perfect output. We do not warrant that outputs will be error-free or suitable for any particular purpose.

8.3 No SLA on Free plan

No Service Level Agreement (SLA) is provided for the Free plan. Pro and Business subscribers benefit from priority processing queues. Business subscribers receive the highest processing priority. We do not provide formal SLAs for any plan at this time, though we aim to process most jobs within minutes.

9. Termination and Suspension

9.1 Termination by you

You may cancel your subscription at any time via the Account Settings page or by contacting Lemon Squeezy through the customer portal. Cancellation takes effect at the end of the current billing period. You may delete your account at any time via Account Settings → Danger Zone; account deletion is immediate and permanent, including all associated data.

9.2 Termination by us

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if:

  • You breach any provision of these Terms
  • You engage in fraudulent, abusive, or illegal activity
  • We are required to do so by law or regulatory order
  • Continued provision of the Service to you becomes commercially impracticable
  • You fail to pay applicable subscription fees after reasonable notice

In the event of termination for cause, no refund will be provided. In the event of termination without cause, we will provide a pro-rata refund for the unused portion of any prepaid subscription period.

9.3 Effect of termination

Upon termination: all licences granted to you under these Terms cease immediately; your access to the Service is revoked; your account data and files are deleted in accordance with our data retention policy; any provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) remain in full force.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.

We do not warrant that: (a) the Service will meet your specific requirements; (b) outputs will be accurate, complete, or suitable for any particular purpose; (c) the Service will be available at any particular time or location; (d) any errors or defects will be corrected; (e) the Service is free of viruses or other harmful components.

Nothing in these Terms limits or excludes liability that cannot be excluded under Italian consumer protection law (D.Lgs. 206/2005).

11. Limitation of Liability

To the maximum extent permitted by applicable law, our total cumulative liability to you for any claims arising from or relating to these Terms or the Service — whether in contract, tort (including negligence), or otherwise — shall not exceed the greater of: (a) the total fees paid by you to us in the twelve (12) months preceding the claim; or (b) €50.

We shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunity, or goodwill
  • Damages arising from your reliance on outputs generated by the Service
  • Damages arising from unauthorised access to or alteration of your content
  • Damages arising from the conduct of third parties (including payment processors and identity providers)
  • Interruptions or delays in accessing the Service

These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain implied warranties or limitation of liability for incidental or consequential damages; in such cases, our liability is limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ragify and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service in a manner not authorised by these Terms
  • Any User Content you upload, including any claim that it infringes third-party rights
  • Your violation of any applicable law or regulation
  • Your negligence or wilful misconduct

13. Third-Party Services

The Service integrates with the following third-party services, each governed by their own terms:

  • Clerk, Inc. — Authentication and identity management. clerk.com/terms
  • Lemon Squeezy LLC — Payment processing and subscriptions (Merchant of Record). lemonsqueezy.com/terms
  • Cloudflare, Inc. — File storage (R2). Files are temporarily stored in Cloudflare's infrastructure for processing. cloudflare.com/terms

We are not responsible for the availability, content, or practices of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 14 days in advance via email to the address registered on your account, and by posting a prominent notice on the Service. Minor changes (such as clarifications, typographical corrections, or changes required by law) may be made with shorter or no notice.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription before the effective date.

We maintain a record of previous versions of these Terms upon request.

15. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, governmental actions, power outages, internet infrastructure failures, or third-party service outages. In such events, our obligations shall be suspended for the duration of the force majeure event.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

For consumers: If you are a consumer resident in the European Union, you also benefit from the mandatory consumer protection provisions of the law of your country of residence. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Italy, without prejudice to your right as a consumer to bring proceedings before the courts of your country of residence under EU Regulation 1215/2012 (Brussels I Recast).

For businesses: Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Italy.

EU consumers also have the right to use the European Commission's Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr.

17. Miscellaneous

17.1 Entire agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ragify with respect to the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

17.3 No waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.

17.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets, provided that the assignee agrees to honour these Terms.

17.5 Notices

All notices to us under these Terms must be sent by email to legal@ragify.it. Notices to you will be sent to the email address registered on your account or posted to the Service.

17.6 Electronic contracts

You acknowledge that these Terms constitute a valid and binding electronic contract in accordance with Italian law (D.Lgs. 70/2003 implementing Directive 2000/31/EC) and that you have had sufficient opportunity to read and understand them before accepting.
